How to use
- Fill the one-page MSA. Open that sheet and add both names, effective date, deliverables, revisions included, timeline, fee, payment due date and where usage is defined. Keep it to one page.
- Set the rate card. Enter base rates and add-on fees. Duplicate a column when you quote a different brand, then export that sheet as a PDF to share.
- Attach usage terms. Check what the brand gets: organic post, paid ad reuse, whitelisting period and territory. Leave renewal fee blank if you will negotiate later, or set a number now.
- Send and keep a copy. Export the three sheets as one PDF, or send the .xlsx if the brand prefers. Save a dated copy for each deal so you have a record of what was agreed.
Tip: Fill scope and revisions first, then price. Most disputes come from vague deliverables, not the rate itself. One extra sentence on what counts as a revision saves a lot of back and forth.
Limits
- This is a template, not legal advice. I am an indie developer, not a lawyer. It does not create an attorney client relationship and it does not review your deal.
- US generic language only. Laws differ by state and by country. What is enforceable in one place may not be in another. Have a local attorney review before you rely on it for large or risky deals.
- It covers freelance content work. It does not cover employment, agency, exclusivity across many brands, or complex IP assignment. For those, use counsel.

FAQ
Is this legal advice or a reviewed contract?
No. It is a generic template with fill-in blanks for US freelance content work. It explains what each field means in plain words but it is not advice for your situation. If the deal is large or risky, have a licensed attorney in your state review it before you sign.
Can I use it outside the US?
You can use the structure, but the wording is US generic. Other countries have different rules on contractor status, taxes and IP. If you work outside the US, use the rate card and checklist, and get local wording for the agreement.
Can I change the terms and send as PDF?
Yes. All cells are unlocked. Edit text, rates and terms, then export or print to PDF. Most creators send the MSA plus rate card as one PDF and keep the .xlsx as their master.
What is the refund policy?
30 days. If you open the file and it is not a fit, email [email protected] within 30 days of purchase with your order number. We refund to your original payment method and confirm within 1 business day. Same policy as the store Refund page.

I run Yixing Store myself and I build small files for solo work. I made this kit because I saw creators agree to terms in chat and sort it out later when payment or usage gets messy. A one-page agreement, a rate card and short usage rows will not fix every deal, but they put the important lines in writing. If a clause does not fit, change it. The file is yours to edit.
